What is a Director Penalty Notice?
A DPN is an official notice issued by the ATO when a company fails to pay specific tax liabilities. It allows the ATO to hold directors personally responsible for the company’s unpaid taxes.
- Covered Tax Debts: PAYG withholding, Superannuation Guarantee Charge (SGC), and Goods and Services Tax (GST).
The Two Types of DPNs
- 21-Day (Non-Lockdown) DPN: Issued when company returns were lodged on time, but the debt remains unpaid. Directors have 21 days from the date of issue (not the date received) to avoid personal liability by taking one of four actions:
- Paying the debt in full.
- Placing the company into Voluntary Administration.
- Appointing a Small Business Restructuring (SBR) practitioner.
- Putting the company into Liquidation.
- Lockdown DPN: Issued when returns are unlodged or lodged late (more than 3 months overdue for PAYG/GST or after the SGC due date). Directors are immediately and automatically personally liable putting the company into administration or liquidation will not clear the liability.
Key Legal Principles Every Director Must Know
- Parallel Liability: All company directors are equally liable for the total debt. Payment by one director reduces the debt for all others.
- Resignation Won't Save You: Resigning as a director does not protect you from debts incurred during your directorship.
- Consequences of Ignoring a DPN: The ATO can garnish bank accounts or wages, place liens on personal assets, or initiate personal bankruptcy proceedings.
- Expired DPNs: If the 21-day period has expired, we can evaluate whether the underlying liability is correct, assess if the DPN is invalid, or identify if any statutory defences apply.
Can you Challenge a DPN and Underlying Tax Debts Simultaneously?
Yes, you can challenge both at the same time, but they operate on separate tracks. Disputing or lodging an objection against the company's tax assessment does not automatically halt, pause, or cancel a DPN.
- The Timeline Trap: Company tax objections typically allow up to 60 days, but a DPN gives you only 21 days. Relying on a tax objection alone will not satisfy the DPN requirement. If the 21 days expire without statutory action, personal liability locks in—even if the company later wins the tax dispute.
- Defences & Enforcement: Disputing an underlying debt is not an automatic defence against a DPN, and lodging an objection does not freeze ATO collection activities. However, actively pursuing a legitimate tax objection can support a statutory "reasonable steps" defence in court.
What can directors do after the 21 days have expired?
If the 21-day period of the DPN has expired, we can consider whether the underlying liability is correct, whether there is any invalidity in the ATO raising the liability or in issuing the DPN, or whether any statutory defences apply.
